Apollo Health and Lifestyle Limited and Cloudnine Hospitals have announced the merger of Apollo Cradle and Apollo Fertility with Cloudnine in a transaction valued at INR 1,550 crore, creating one of India’s largest integrated maternity, fertility, neonatal, and pediatric healthcare platforms. The deal combines Apollo’s mother and child healthcare verticals with Cloudnine’s expanding national network to strengthen specialized women and child healthcare services across India.

 

Under the agreement, Apollo Health and Lifestyle Limited (AHLL) will hold a 9.9% equity stake in the combined entity, making it the largest non-financial shareholder, while also securing board representation through a nominee director. The transaction structure includes a mix of cash consideration and equity participation.

 

The merged healthcare platform will operate more than 55 centers across major Indian markets, significantly expanding access to maternity, fertility, neonatal, and pediatric care services. Apollo Cradle currently operates 12 maternity centers across Hyderabad, Bengaluru, Chennai, Delhi NCR, and Punjab, while Apollo Fertility runs 20 fertility centers nationwide. Cloudnine presently manages around 40 centers across India’s major cities.

 

According to industry estimates, India’s mother and child healthcare market is valued at nearly INR 30,000 crore and is projected to grow at approximately 15% CAGR over the next few years, driven by rising demand for premium maternity care, fertility treatments, neonatal services, and pediatric healthcare.

 

The combined entity will also benefit from backing by major investors including Temasek Holdings, True North, and TPG NewQuest. The transaction remains subject to regulatory approvals, including clearance from the Competition Commission of India (CCI).

 

Dr. Sangita Reddy, Chairperson of AHLL, stated that the partnership represents a significant milestone for women’s healthcare in India and will help accelerate access to premium maternity, fertility, neonatal, and pediatric services while improving clinical outcomes and continuity of care.

 

The merger is expected to strengthen healthcare delivery in Tier 1 and Tier 2 cities, improve operational efficiencies, and create one of the country’s largest pools of senior clinicians operating under standardized clinical governance frameworks. Industry experts believe the deal could reshape India’s specialized maternity and fertility healthcare segment amid rising healthcare investments and consolidation trends.
