GE HealthCare has entered into a definitive agreement to acquire SOFIE Biosciences, a U.S.-based contract manufacturing organisation (CMO) specialising in PET radiopharmaceuticals, from Trilantic North America for $945 million in cash. The transaction is expected to close in the first half of 2027, subject to customary closing conditions and regulatory approvals.
The acquisition will expand GE HealthCare’s presence across the U.S. radiopharmaceutical supply chain, particularly the time-sensitive “final mile” of PET radiopharmaceutical manufacturing and distribution. Following completion, SOFIE Biosciences will become part of GE HealthCare’s Pharmaceutical Diagnostics (PDx) segment.
SOFIE operates a U.S. network of 15 CMO sites with 21 cyclotrons, along with a theranostics-focused contract development and manufacturing organisation facility. The network is expected to strengthen the availability and reliability of PET radiopharmaceuticals for patients and healthcare providers.
The transaction will also provide GE HealthCare with U.S. rights to FAPI-74, a Phase III PET radiotracer targeting fibroblast activation protein (FAP), with potential applications across multiple cancers. GE HealthCare already holds rights to FAPI-74 outside the United States.
PET radiopharmaceuticals are used to visualise metabolic and molecular activity and are increasingly being explored for targeted therapeutic applications. F18-labelled PET radiopharmaceuticals have a half-life of approximately 110 minutes, making local manufacturing and rapid distribution critical for timely patient access.
GE HealthCare said the radiopharmaceutical pipeline currently includes approximately 20 PET radiotracers and more than 30 radiotherapeutics under development. Its Pharmaceutical Diagnostics segment supported approximately 140 million procedures globally in 2025, equivalent to around four patient procedures every second.
Following the acquisition, SOFIE is expected to continue operating as an independent manufacturing partner for its existing customers and will continue supplying products from other radiopharmaceutical providers. GE HealthCare expects the transaction to be accretive to revenue growth, adjusted EBIT margin and adjusted EPS in the first full year of ownership.
The acquisition marks a significant expansion of GE HealthCare’s radiopharmaceutical strategy, strengthening its ability to support the PET imaging and broader precision medicine and theranostics ecosystem.
