Kochi based Agappe Diagnostics, one of India’s leading in vitro diagnostics (IVD) companies, is attracting interest from several global private equity investors, including Warburg Pincus, TA Associates, Bain Capital, and CVC Capital, for a proposed minority stake acquisition. The discussions are currently at a preliminary stage and no definitive agreement has been announced.

The proposed transaction involves the sale of around 25% equity in Agappe Diagnostics and could value the company at approximately ₹3,000–3,200 crore. Based on the estimated valuation, the deal size is expected to be in the range of ₹700–750 crore, making it one of the notable investment opportunities in India’s diagnostics and medical technology sector this year.

Founded in 1994, Agappe Diagnostics is a leading manufacturer of diagnostic reagents, analysers and laboratory equipment serving the global in vitro diagnostics (IVD) market. The company has established a strong presence in clinical chemistry, while also offering solutions in haematology, immunochemistry and point-of-care diagnostics. According to the company, its products are used by more than 70,000 laboratories across over 90 countries, reflecting its growing international footprint.

The company’s current shareholding includes Mauritius based Sycamore Holdings, managed by Konark Capital Partners, which owns around 20%, while the remaining stake is held by the promoter group. Sycamore Holdings is also reported to be participating in the ongoing transaction process.

The potential investment highlights the growing confidence of global investors in India’s rapidly expanding diagnostics industry, driven by increasing demand for quality laboratory testing, preventive healthcare and indigenous medical technologies. Industry analysts believe that a successful transaction would provide Agappe

Diagnostics with additional capital to expand manufacturing capacity, strengthen research and development, accelerate international expansion and enhance its product portfolio in the competitive global IVD market.
While discussions remain at an early stage, the proposed investment underscores the increasing attractiveness of India’s healthcare and diagnostics sector for long term private equity capital and strategic growth partnerships.
